I. Sanctions

• Buyer guarantees that he complies and will continue to comply with all obligations and restrictions arising from all applicable sanction regulations of the United Nations, the United States of America, the European Union, the Netherlands and any other country that is or may become relevant for the implementation of the concluded agreement (“Sanctions Act”).
• In particular, Buyer guarantees not to sell, transfer, deliver or otherwise make available the purchased goods directly or indirectly to (legal) persons, entities, groups or (governmental) organizations that are sanctioned under the Sanctions Act.
• Buyer ensures that all obligations under this article will be imposed equally on every party to whom Buyer resells or delivers goods which have been obtained from Seller.
• If Buyer does not, not timely or properly fulfill the obligations arising from this article for him, Seller has the right to suspend or terminate the agreement with immediate effect without notice of default without any obligation to pay compensation from Seller and with full liability for damages from the side of Buyer towards Seller, all this at the discretion of Seller.

II. Anti-Corruption

• Buyer will at all times comply with all obligations and restrictions arising from all applicable anti-corruption regulations of the United States of America, the United Kingdom, the Netherlands and any other country that is or may become relevant to the implementation of the agreement concluded (“Anti-Corruption Legislation”).
• Any offer to and acceptance by employees or members of Buyer’s board of money, gifts, gifts, travel, entertainment or other compensation that relates to the agreement or Seller and that is intended to, or can be seen as, an incentive to act in a certain way, is strictly prohibited.
• Buyer will not offer, promise or give anything directly or indirectly to any political party, campaign, government agency, official or (employees of) public institutions, state-owned companies, organizations, international institutions for the purpose of acquiring or retaining business or any other improper advantage in connection with the agreement of Seller.
• In connection with the agreement of Seller, Buyer will not offer, promise, give or accept a business relationship, unless there is a fair basis for this and it is reasonable in the context of the daily course of events and otherwise complies with local legislation.
• Buyer will immediately inform Seller if it is informed of any situation in the performance of the agreement that may be in violation of anti-corruption legislation.
• If Buyer does not, not timely or properly fulfill the obligations arising from this article for him, Seller has the right to suspend or terminate the agreement with immediate effect without notice of default without any obligation to pay compensation from Seller and with full liability for damages from the side of Buyer towards Seller, all this at the discretion of Seller.
